Business Development Fee 1.5 PCT Due 10th day of each month. Not currently charged to date but franchisor has the right to do so in the future and is planning on implementing in 2025. Used for local SEO, digital marketing, agency services, promotional activities, brand/image development, website development, public relations, research, consulting services, stimulating account sales, and advisory group expenses. Franchisor has discretion on use of funds and can negotiate amount or implement at lesser amount with subsequent increases up to 1.5%.
Late Payments N/A VARIABLE Payable on demand. Accrues from due date on principal amount not timely paid for any reason.
Transfer Fee 10000.0 FIXED Due upon or prior to certain transfers of the franchise. Not applicable if transfer is to an immediate family member or the owner with a controlling interest. Franchisor has not charged this fee to date but may do so as one of the conditions to consent to transfer.
Renewal (Successor Term) Fee 10000.0 FIXED Due 30 days before term of franchise expires. Payable if franchisee elects to enter into a new master franchise term after current term expires.
On-Boarding Fee 10000.0 FIXED Due not less than 3 business days before participating in scheduled session. Non-refundable. Unless Designated Manager has previously been involved in operation of an Area Franchise or has comparable experience, he/she must participate in On-Boarding program before beginning Area Franchise Business operations. If insufficient progress or failure to complete, franchisor can require different owner/substitute to complete or terminate agreement (with refund of Master Franchise Fee less $10,000 upon return of materials and signing release).
Indemnity N/A VARIABLE Payable upon demand. Franchisee must indemnify, defend and hold Vanguard harmless. Includes all liability, costs of defense, obligations, damages and expenses and attorneys' fees. Excludes matters arising from Vanguard's intentional breach of agreement.
Insurance 2.0 PCT Estimated at approximately 2% or more of Gross Revenue if participating in general liability, crime and umbrella liability insurance coverage plans currently offered. Due when due to insurance carrier. If participating in group plan, franchisee pays franchisor their cost, which is paid directly to carrier. Can purchase through other sources which may be less expensive. Franchisor not required to maintain group insurance program. Master franchise business insurance must meet minimum coverage standards. If franchisee doesn't maintain required insurance, franchisor can purchase it and franchisee must reimburse.
Enforcement Costs N/A VARIABLE Payable on demand. Includes reasonable attorneys' fees. Franchisee pays their own attorneys' fees in a dispute, and arbitration costs are shared by franchisee and franchisor. Subject to applicable law and any remedies to which a party may later be entitled under law.
Interest on Underpayments & Audit Expense N/A VARIABLE Payable on demand. Interest accrues from date the payments were due. Costs of audit payable if understatement or underpayment is greater than 10%.
